Terms of
Service
The terms that apply when you use this website or work with Framenox. Plain and fair — please read them before we start a project together.
01About these terms
These Terms of Service (“Terms”) apply to your use of framenox.in and to any services you engage Framenox for. Framenox.in (“Framenox”, “we”, “us”) is a sole proprietorship based in Khandagiri, Bhubaneswar, Odisha 751030, India. “You” or “the Client” means the person or business using this website or engaging our services.
Most projects also have their own written quotation or Statement of Work (“SOW”) that sets out the scope, fees and timelines. If an SOW or signed agreement says something different from these Terms, the SOW or signed agreement applies.
02Using this website
The content on this website — text, designs, videos, images and code — belongs to Framenox or to the clients and creators who allowed us to show it. You may view and share links to it, but you may not copy, resell or reuse it without our written permission.
Work shown in our portfolio is displayed as examples of what we have made. Links to other websites are provided for convenience; we are not responsible for their content or availability. Information on this website is general and may change; prices and packages are confirmed only in a written quotation.
03Our services
Framenox provides website design and development, UI/UX design, e-commerce experiences, graphic and logo design, branding, video editing, motion graphics and social media services.
The exact deliverables, quantities and timelines for your project are those agreed in writing in your quotation or SOW. Anything outside that agreed scope — extra videos, designs, pages or other creative work — is treated as an Additional Service and will be quoted separately and confirmed in writing before we begin.
04Fees & payment
Fees are as stated in your quotation or SOW. Unless your agreement says otherwise, fees are payable in three instalments:
| Instalment | Due | Share of fees |
|---|---|---|
| Advance payment | Before the project starts | 40% |
| Milestone payment | When the agreed milestone is reached | 30% |
| Final payment | Before final delivery | 30% |
- All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which is charged in addition as per Indian law. Where Tax Deducted at Source (TDS) applies under the Income Tax Act, 1961, the Client deducts it and provides us the TDS certificate.
- Payments are made by bank transfer, UPI or wire transfer within three (3) business days of the invoice date. An invoice not disputed in writing within five (5) business days of receipt is treated as accepted.
- Overdue amounts carry interest of 1.5% per month (or the maximum permitted by law, if lower), and we may pause work until overdue payments are cleared in full.
- Where you are billed in a foreign currency, amounts are converted at the bank’s prevailing rate on the invoice date, and bank or conversion charges are borne by the Client.
05Revisions & approvals
Each deliverable includes the number of revision rounds stated in your package or SOW. A revision round is one consolidated set of feedback sent at one time — for example, ten change requests sent together count as one round. Each later set of feedback, sent after revised files are delivered, counts as a separate round.
Revisions beyond the included rounds, or work outside the agreed scope, are Additional Services and are quoted separately. A deliverable is treated as approved if we receive no feedback within five (5) business days of delivering it.
06Your responsibilities
To keep your project on time, the Client will:
- name one point of contact who can give feedback and approvals on the Client’s behalf;
- provide brand assets, content, copy, product data and access (hosting, domain, third-party platforms) needed for the work, in good time;
- give feedback and approvals within the agreed timelines; and
- make sure any content, trademarks or materials it provides do not infringe anyone else’s rights.
Delays in any of the above may extend the project timeline and delivery dates accordingly.
07Intellectual property
Build files. We provide the build files needed for implementation, testing, review or deployment as the work progresses.
Source files. Editable source files — such as Figma, PSD, AI, Canva, Adobe Premiere Pro and After Effects project files — are shared once the applicable milestone is reached and the corresponding payment is received. Until then we provide only the build files, and build files, exports or previews do not count as delivery of source files.
Third-party elements. Stock photos, fonts, music, plugins and other licensed elements used in a deliverable remain under their own licences; we pass those licence rights on to you as far as the licence allows.
Portfolio. We may show completed work in our portfolio, website, social media and pitches, unless you ask us in writing to keep it confidential.
08Confidentiality
Both sides keep confidential all non-public business, technical and financial information shared during the engagement, and use it only for the project. This does not apply to information that is public through no fault of the receiving side, was already known to it without a duty of confidentiality, or must be disclosed by law or a competent authority. This obligation continues for two (2) years after the engagement ends.
09Our relationship
Framenox works as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship. We are responsible for our own team, freelancers and subcontractors.
10Suspension & termination
- For convenience: either side may end the engagement with thirty (30) days’ written notice.
- For cause: either side may end it immediately by written notice if the other commits a material breach and does not fix it within fifteen (15) days of being notified.
- On termination: the Client pays for all services rendered and deliverables approved up to the termination date; we deliver all completed, paid-for deliverables; and any advance paid for work not yet done is refunded within fifteen (15) business days, after deducting costs already incurred and the value of work in progress.
- Fixed-term engagements: if the Client ends a fixed-term engagement for convenience before the term is complete, the Client also pays fifteen percent (15%) of the remaining unbilled fees towards resourcing and transition costs, unless we waive this in writing.
11Force majeure
Neither side is liable for delay or failure (other than payment obligations) caused by events beyond its reasonable control — natural disasters, government action, internet or power outages, pandemics, strikes and similar events. The affected side will inform the other promptly and resume as soon as reasonably possible.
12Limitation of liability
Neither side is liable for indirect, incidental, consequential or punitive damages, including loss of profits, revenue or business opportunity. Framenox’s total liability for any claim is limited to the fees paid by the Client in the three (3) months before the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct or infringement of the other side’s intellectual property.
13Indemnification
The Client indemnifies Framenox against claims, losses or damages arising from content, trademarks or materials the Client provided that infringe third-party rights, or from the Client’s misuse of the deliverables. Framenox indemnifies the Client against claims, losses or damages arising from our gross negligence or wilful misconduct, or from a deliverable that knowingly infringes a third party’s intellectual property (excluding Client-provided content and third-party licensed elements described in section 07).
14Non-solicitation
During the engagement and for twelve (12) months after it, neither side will directly solicit for employment or engagement any employee, freelancer or contractor of the other who worked on the project, without the other side’s written consent.
15Assignment
Neither side may transfer its rights or obligations without the other’s written consent, except that Framenox may subcontract parts of the work to qualified freelancers or vendors while remaining responsible for their work.
16Governing law & disputes
These Terms are governed by the laws of India. Any dispute will first be discussed in good faith for thirty (30) days. If it is not resolved, it will be settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by both sides, seated in Bhubaneswar, Odisha, in English. Subject to this, the courts at Bhubaneswar, Odisha have exclusive jurisdiction.
17Notices
Notices, approvals, feedback and other official communication are made in writing, by email or another channel both sides use for the project. Feedback, content, assets and instructions shared through those channels are valid for running and delivering the work. Either side may update its contact details by telling the other in writing.
18General
- Entire agreement: these Terms, together with your quotation or SOW and any written changes both sides approve, are the complete understanding between us about the services.
- Changes: any material change to scope, package, pricing or duration must be agreed in writing by both sides.
- Severability: if any part of these Terms is found invalid, the rest stays in force.
- No waiver: not enforcing a term at one time does not waive the right to enforce it later.
- Electronic signing: agreements may be signed electronically, by scanned signature or as digitally signed copies.
- Survival: terms on confidentiality, intellectual property, payment, liability, indemnification and disputes continue after the engagement ends.
- Updates: we may update these Terms from time to time; the date at the top of this page shows the latest version. Signed agreements are not changed by later updates.
